1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you") and Ante Creativity ("Agency", "we", "us"), a company based in Habdzin, Mazowieckie, Poland. By engaging our services, accessing our website, or entering into a service agreement, you confirm that you have read, understood, and agree to be bound by these Terms.

2. Services Provided

Ante Creativity offers the following services, among others:

• AI-driven marketing strategy and campaign management
• Mobile application development (iOS, Android, cross-platform)
• Brand identity design and visual communication
• Performance advertising (paid media management)
• Content creation and copywriting

The specific scope, deliverables, timeline, and pricing for each engagement will be detailed in a separate Service Agreement or Statement of Work (SOW) signed by both parties.

3. Engagement and Proposals

All services commence upon written agreement (email confirmation, signed contract, or accepted proposal). Proposals are valid for 30 days unless otherwise stated. We reserve the right to decline any project at our discretion.

4. Payment Terms

• All fees are quoted in Euros (EUR) unless otherwise agreed.
• A deposit of 30–50% of the total project value is required before work commences, unless otherwise agreed in writing.
• Remaining payments are due as specified in the project agreement or invoice.
• Invoices are due within 14 days of issue unless otherwise stated.
• Late payments may incur a monthly interest charge of 1.5% or the maximum rate permitted by Polish law, whichever is lower.
• All prices are exclusive of applicable taxes (VAT) unless stated otherwise.

5. Client Responsibilities

To ensure successful project delivery, you agree to:

• Provide accurate, complete, and timely information, materials, and approvals.
• Designate a primary point of contact for communications.
• Review and respond to deliverables within agreed timeframes.
• Ensure you have all necessary rights to materials you provide (images, text, trademarks).
• Pay all invoices by their due dates.

Delays caused by the Client's failure to provide required materials or approvals may result in revised timelines and/or additional fees.

6. Intellectual Property

Work Product: Upon receipt of full payment, all custom-created deliverables (designs, code, copy) will be assigned to the Client, unless otherwise agreed.

Agency IP: We retain ownership of our proprietary methodologies, tools, frameworks, templates, and pre-existing intellectual property used in the creation of deliverables. These are licensed to the Client for use in the deliverables only.

Portfolio Rights: Unless explicitly restricted in writing, we reserve the right to display completed work in our portfolio and marketing materials.

Third-Party Assets: Stock images, fonts, plugins, or other third-party assets used in deliverables remain subject to their original licensing terms.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary, sensitive, or confidential information shared during the engagement. This obligation survives termination of the agreement for a period of 2 years.

8. Revisions and Change Requests

The number of revisions included in any project will be specified in the Service Agreement. Additional revisions beyond the agreed scope will be billed at our standard hourly rate. Significant scope changes ("change requests") will require a written amendment and may affect timeline and cost.

9. Cancellation and Termination

By Client: You may cancel a project with 14 days' written notice. You remain liable for all work completed and costs incurred up to the cancellation date. Deposits are non-refundable unless otherwise agreed.

By Agency: We may terminate the engagement if you breach these Terms, fail to make payment, or engage in conduct we reasonably deem harmful. In such cases, we will invoice for all work completed.

10. Warranties and Representations

We warrant that our services will be performed with reasonable skill and care in accordance with industry standards. We do not guarantee specific business outcomes (e.g., revenue growth, app store rankings, or advertising performance metrics), as these depend on many factors outside our control.

The Client warrants that all materials provided are free from third-party intellectual property claims and that use thereof will not infringe any third-party rights.

11. Limitation of Liability

To the maximum extent permitted by law, Ante Creativity's total liability arising from or in connection with these Terms shall not exceed the total fees paid by the Client in the 3 months preceding the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

12. Indemnification

You agree to indemnify and hold harmless Ante Creativity, its employees, and contractors from any claims, damages, or expenses (including legal fees) arising from your use of our services, breach of these Terms, or violation of any third-party rights through materials you provided.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Poland and applicable EU regulations. Any disputes arising from these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the competent courts of Mazowieckie, Poland.

14. Force Majeure

Neither party shall be liable for delays or failure to perform resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, pandemics, government actions, or internet outages.

15. Amendments

We reserve the right to update these Terms at any time. Updated Terms will be posted on this page with a revised date. Continued use of our services after updates constitutes acceptance of the new Terms. For ongoing client relationships, material changes will be communicated directly.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
